3Lines Platform Terms of Use and Subscription Agreement

Welcome to 3Lines Platform! Before you start using 3Lines, please take a moment to read and accept these terms. These outline your legal rights and responsibilities, and ours. By accessing the platform as either a Subscriber or User, you automatically agree to these terms.

Introduction

These terms apply to your use of the 3Lines compliance platform and any services we provide now or in the future. If you don’t accept these terms, you can’t use our services.

Joining and Using 3Lines

You and 3Lines

“You” refers to you and your authorised entity or firm. “We”, “us” or “3Lines” refers to 3Lines Holdings Pty Ltd ACN 642 300 285.

Our Services

We offer an online compliance platform and related services to help Australian Financial Services Licensees (AFSLs) manage their regulatory obligations.

Subscriptions & Users

• Subscriber: The person or firm responsible for payment and managing invited users.
• Invited User: Any person granted access by the subscriber. Invited users must also accept these terms.

User Roles & Access

Subscribers manage permissions for all users under their account. It's the subscriber’s responsibility to ensure access is granted and revoked appropriately. Where 3Lines believes that a user has been granted access and revoked, in order to circumvent maintaining the appropriate subscription plan, the account will be immediately terminated.

Your Responsibilities

You must:

• Keep account information accurate and up to date
• Maintain strong passwords and account security
• Use the services in accordance with our rules and applicable laws

Intellectual Property

We own the rights to everything we’ve created on the platform, including software, content, and designs. Don’t copy, modify or redistribute any part of our IP without permission.

Subscribers, Users and any Related Entities must not, directly or indirectly develop, offer, market, or sell a product or service that is materially similar to or competitive with the Platform or use any Confidential Information to assist in the development, improvement, or commercialisation of a competing solution to the Platform.

Subscription Terms and Conditions

Pricing and Billing

Subscriptions are billed based on the plan you choose. Prices and plans are outlined on our website and may change from time to time with notice. GST is charged in addition to this pricing.

Free Trial Promo

Trial users sccessing 3Lines Premium without charge for a limited time will be billed after the trial unless you cancel beforehand.

Annual Offers

Some discounted offers (e.g., EOFY 50% off for 12 months) require an annual commitment. By accepting such offers, you agree to the minimum term and pricing specified.

Third-Party Payments

Payments are processed via Stripe. Please review Stripe’s Privacy Policy and Terms.

Late Payments

If payment is not received on time, we may suspend your account until resolved.

Data Use and Privacy

Our Privacy Notice explains how we handle personal information.

Data Ownership

Your data remains yours, but by entering it into 3Lines, you grant us a licence to use, store, and process it to deliver and improve our services.

Anonymised Usage

We may aggregate and anonymise your data to generate insights and trends.

Data Breach Notifications

If we detect unauthorised access to your data, we’ll notify you in line with applicable privacy laws.

Confidentiality

Both parties agree to protect each other's confidential information and only disclose it if legally required or with permission.

Security

We use technical, administrative, and physical safeguards to protect your data. However, no system is 100% secure. You are responsible for using strong passwords and notifying us if you suspect unauthorised access.

Termination

Termination by You

You may terminate your subscription at any time. You remain responsible for fees up to the date of termination. For annual lock-in contracts, no refunds apply for early termination.

Termination by Us

We may terminate your subscription with 14 days' notice, or immediately in cases of breach, insolvency, or non-payment.

Data After Termination

After termination, your data will be retained for 45 days. During that time, you may reactivate your subscription to regain access. After 45 days, your data will be deleted.

Liability and Indemnity

You Indemnify Us

You indemnify 3Lines against claims arising from your use of our services or third-party products, except where caused by our own negligence or misconduct.

Limitations

• We are not liable for indirect, special or consequential loss (e.g. loss of revenue, customers, compliance fines).
• Our total liability is limited to the subscription fees you paid in the 12 months prior to the event giving rise to the claim.

Professional Advice Disclaimer

Nothing in the 3Lines Platform or services should be considered legal, financial, or other professional advice. Use of our tools does not replace the need for qualified professional input tailored to your business or AFSL.

Marketing and Logo Use

By subscribing, you agree we may display your firm’s logo and name as part of our customer base (e.g. on our website or case studies). You may opt out at any time by notifying us in writing.

Non-Compete

General

• Disputes: We’ll try to resolve disputes with you quickly and fairly before resorting to legal action.
• Force Majeure: We’re not responsible for events outside our control.
• Governing Law: These terms are governed by the laws of Western Australia.
• Changes: Terms may change. We’ll notify you of material changes in advance where possible.
